Antobella, Proof by example

Group divestment: lay the groundwork before opening discussions.

Scope, information and stakeholders: three workstreams to organise before a divestment.

Define what you intend to sell

The first question concerns the transaction perimeter. A business may share teams, contracts, systems or support functions with the rest of the group. Before discussions begin, mapping these connections helps distinguish what belongs within the proposed perimeter from what needs a specific arrangement. This operational view gives the leader and their advisers a common starting point.

Make information consistent and accessible

Group charts, business descriptions, contracts and financial information need to be assembled and understood. Start by identifying available information, who owns it and any discrepancies between documents. Qualified professionals then determine the checks required. An organised working file supports their work and helps the leader identify decisions that need attention.

Organise responsibilities

The business leader, internal teams and advisers each have different responsibilities. Assigning an owner to each workstream, clarifying approval requirements and building a shared timetable helps reduce uncertainty. The plan also needs to reflect the availability of people who continue to run the business day to day.

Antobella’s role

Antobella helps scope the project, bring together suitable partners and coordinate their involvement. We support the leader in maintaining an overview of the preparation. Valuations, legal analysis and financial recommendations remain the responsibility of the relevant professionals.
